Welcome to The Chief Suite. These Terms of Service ("Terms") govern your access to and use of our website (thechiefsuite.app), services, tools, and any related content. By engaging our services, purchasing a package, booking a Coffee Chat, or using our website, you agree to these Terms. If you don't agree, please don't use our services.

The Chief Suite is operated as a sole proprietorship doing business as "The Chief Suite," based in Minnesota, United States.

What we offer

We provide branding, website design, and business setup support services for early-stage entrepreneurs and pre-seed founders. Our services are organized into the following categories:

What we are not

The Chief Suite provides business consultation, branding, design, and filing support — we do not provide legal advice, tax advice, accounting advice, or financial advisory services. Any questions of a legal or tax nature should be directed to a licensed attorney or CPA. Our Full Suite tier includes a complimentary 30-minute session with our partner attorney; that attorney maintains an independent professional relationship with you and is solely responsible for any legal advice they provide.

Engagement and payment

Booking and engagement

Engagements begin once you have either (a) paid in full via Stripe, or (b) accepted a custom proposal and paid the first invoice in a payment plan. Work commences the week your first payment clears.

Pricing and payment plans

Standard tier pricing is published on our website. Pay-in-Full pricing is the listed rate. Payment plans are available via custom proposal and may include payment plan markups, scope adjustments, or other modifications, and are documented in your individual proposal.

Delivery timelines

Each tier has a target delivery window:

Delivery timelines for payment plans scale with the cadence of payment. Work is delivered in step with payments received. We will communicate proactively about timelines and any delays.

Late payments

If a scheduled payment fails or is not made within seven (7) days of the due date, we reserve the right to pause work until payment is brought current. Recurring missed payments may result in termination of the engagement, and you remain responsible for any work already delivered.

Your responsibilities as a client

For us to deliver our work effectively, you agree to:

If you fail to provide materials, feedback, or approvals in a timely manner, your delivery timeline may extend accordingly. Engagements that go inactive for more than thirty (30) days may be archived, and resuming work may incur a re-activation fee.

Ownership and intellectual property

Your deliverables

Upon full payment of all invoices, you own all final deliverables created specifically for you under your engagement — including logo files, website code, brand guidelines, and any custom-built assets. You are free to use, modify, and distribute these deliverables as you see fit.

Our underlying tools and methods

We retain ownership of any pre-existing templates, frameworks, processes, methodologies, and proprietary tools used in delivering your services. À la carte tools (spreadsheet templates and similar digital products) are licensed to you for personal and business use, but you may not resell, sublicense, or distribute them.

Portfolio and case study rights

Unless you specifically request otherwise in writing, we reserve the right to display your project (logo, website screenshots, deliverable previews, and brand name) in our portfolio, case studies, social media, and marketing materials. We will not disclose confidential business information.

Confidentiality

We treat business information you share with us as confidential and will not share it with third parties except as needed to deliver your services (for example, with our subcontractors or our partner attorney, if you elect to use that benefit). We expect the same of you regarding our processes and proprietary materials.

Refunds and cancellations

Limitation of liability

To the maximum extent permitted by law, The Chief Suite's total liability to you for any claim arising from our services is limited to the total amount you paid us for the specific engagement at issue. We are not liable for any indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities.

We make no guarantees regarding business outcomes, revenue, fundraising success, customer acquisition, or other commercial results. Our services support your business — they do not guarantee its success.

Changes to these terms

We may update these Terms from time to time. The "Last updated" date above will reflect any changes. Material changes will be communicated via email to active clients. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law principles. Any disputes that cannot be resolved informally will be resolved in the state or federal courts located in Minnesota, and you agree to that jurisdiction.

The short version: You bring your vision and the materials we need. We bring the craft, the timeline, and the work that makes your business feel real. Once you're paid up, the deliverables are yours to keep. We may show your project in our portfolio unless you'd rather we didn't. We're builders and consultants — not attorneys or accountants — so legal and tax questions belong with the right professional. If anything ever goes sideways, our liability is limited to what you paid us. Minnesota law applies.
